Corporate Governance

Thorough due diligence and adherence to rigorous corporate governance guide the action of NSBI’s private-sector board. Comprised of 13 respected business leaders from communities across Nova Scotia, the NSBI board provides guidance and governance for NSBI’s business activities.

In the spirit of transparency and in the interest of keeping abreast of the issues of business across the province, the board continued its practice of hosting an annual reception for business. In 2006/07, the reception in Yarmouth drew more than 125 members from the local business community.

This past year, NSBI also welcomed a new board chair, Doug Hall. Mr. Hall, former vice-chair of NSBI’s board, began his term in January 2007 following the end of the term for F. Thomas Stanfield. Mr. Stanfield served as the board chair for NSBI from 2002 to 2007 and was honoured
for the work he has done and the dedication he has shown to the province throughout his appointment.

Including committee meetings, members of the board met more than 30 times in 2006/07 to further the following:

  • Oversee the corporate governance framework
  • Review and approve quarterly and annual financial reports
  • Oversee the strategic planning process
  • Identify and monitor major risks facing the corporation
  • Monitor the integrity of the corporation’s internal control systems
  • Approve financial transactions within board limits

COMMITTEES

The Audit, Human Resources Governance, and Investment Committees serve to assist the board in carrying out its responsibilities.


The Audit Committee oversees NSBI’s financial reporting, assesses its internal controls and risk environment, and reviews the report prepared by the corporation’s external auditor.

The Human Resources Governance Committee ensures appropriate human resource-management policies are in place, managing the re-cruitment process for new board members, as well as developing and overseeing NSBI’s corporate governance principles.

The Investment Committee oversees NSBI’s investment framework and policies, monitors the performance of the corporation’s investment port-folio, and approves financial transactions to the full board for approval.
